Benefits of Forming an LLC

Protection

Forming an LLC provides limited liability protection to the owners. This means that the owners' personal assets are generally protected from any business-related debts or legal issues. If you're concerned about protecting your personal assets, an LLC may be a good choice.

Flexibility

LLCs have fewer formal requirements than corporations, making them easier to manage. Also, LLCs allow for pass-through taxation, which means that the business's profits and losses are reported on the owners' personal tax returns. This simplifies tax reporting and might help you save on taxes.

Size and Complexity

LLCs are a good choice for small to medium-sized businesses with relatively straightforward structures. If your business is complex and has a large number of owners, a different type of entity may be more appropriate.

Feature Growth

If you plan to raise capital from investors or go public in the future, an LLC may not be the best choice. LLCs have limitations when it comes to issuing stock or raising funds, which can make it more difficult to attract investors.

Steps to form an LLC

01
Choose a Name

A name is something important to every business owner that says who they are and what they do. We like to encourage our clients to be creative, but don't forget you can not use the same name as another registered business in your state or trademarked name.

02
Choose a Registered Agent

The RA or registered agent is the person who will receive almost all your legal and governmental notices. Most states require that someone be selected, and we are happy to provide that service to you!

03
File Articles of Organization

Sometimes called the Certificate of Formation. This document contains details about your LLC required by your state. It is filled at your local Secretary of State's office.

04
Prepare an Operating Agreement

This document lays out the rules of operation, details who has authority to do what and how distribution of profits work. Many Banks will require this documentation when you open a bank account unless you are the sole owner of the LLC.

05
Get an EIN

Also known as Federal Tax ID Number or Employer Identification Number. Much like a social security number it is needed for banking, taxes, hiring employees, opening lines of credit and much more! As soon as your LLC is registered you should apply for your EIN. Don't worry, we will do that for you as well.

06
Business Licenses

Depending on your type of business your city, state, and federal government may require you to have additional permits and license before you can get to work. We are glad to be of assistance in determining which ones are needed and even fill out the forms for you! For an additional fee we search the database to determine which licenses you need and assist you in applying for them.
